Terms of Use

1. Eligibility

Access to certain portions of the Services (including any opportunity details) may be restricted and available only to approved users. Content on the public website is provided for informational purposes only and does not constitute an offer to sell or a solicitation to buy any securities or other financial product.

3. Account Registration and Security

If you create an account, you agree to:

• Provide accurate and complete information;
• Maintain the confidentiality of your login credentials;
• Notify us immediately of any unauthorized access to your account.

You are responsible for all activity under your account.

4. Investor Profile and Disclosures

You may be asked to complete a brief onboarding questionnaire to better understand your interests and eligibility. You agree that:

• You will provide truthful information; and
• You understand that outcomes may vary and that there is no guarantee of profit.

5. How Deals Work (High-Level)

Cygnus IT Services provides software and administrative tools through an invite-only portal that may present opportunities, project summaries, and related documentation regarding asset-based or local business activities.

For any opportunity, the definitive terms (including budgets, timelines, risks, and payout methodology) will be provided in official documents available in the portal, and participation (if applicable) may require additional documentation and acknowledgments specific to that opportunity.

6. Payments; No Escrow Representation

Payments, if applicable, may be made via ACH or wire transfer to accounts designated in the portal. We do not represent that the Services provide escrow services unless explicitly stated in writing for a specific transaction with a qualified escrow provider.

7. No Advice

We do not provide legal, tax, accounting, or investment advice. You should consult your own professional advisors before making any decision.

8. Risks and No Guarantees

You acknowledge that:

• Asset-based or local business activities can involve delays, unexpected costs, market price changes, title/registration issues (when applicable), counterparty risk, and other risks.
• There is no guarantee of profit and you may experience partial loss.
• We do not guarantee returns, all values are estimates and may vary.

9. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes;
• Attempt to gain unauthorized access to systems or accounts;
• Interfere with the security or operation of the Services;
• Upload malicious code or conduct scraping without permission.

10. Intellectual Property

The Services, including text, design, logos, and software, are owned by Cygnus IT Services or its licensors and are protected by applicable laws. You may not copy, modify, distribute, or create derivative works without written permission.

11. User Content

If you submit information or content through the Services (“User Content”), you grant us a non-exclusive, worldwide, royalty-free license to use it to operate, maintain, and improve the Services. You represent that you have the rights to provide such User Content.

12. Third-Party Services and Links

The Services may reference third-party websites or services. We are not responsible for third-party content, policies, or practices.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYGNUS IT SERVICES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US (IF ANY) FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Cygnus IT Services and its owners, officers, employees, and agents from any claims, liabilities, damages, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of another.

16. Dispute Resolution

If you have a dispute with Cygnus IT Services, you agree to first contact us and attempt to resolve the dispute informally. If we cannot resolve the dispute within a reasonable time, either party may pursue claims in a court of competent jurisdiction, subject to applicable law.

17. Termination

We may suspend or terminate access to the Services at any time if we reasonably believe you violated these Terms or if required by law. You may stop using the Services at any time.

18. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date will reflect changes. Continued use of the Services after changes means you accept the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law rules.
